1. Acceptance of Terms

By accessing our website or entering into an agreement to use our Services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or Services.

2. Eligibility

Our Services are intended for use by businesses, organizations, and authorized professionals. By using our Services, you represent that you have the authority to bind your organization to these Terms.

3. Services Overview

BNT Tech provides customized B2B software and SaaS solutions across industries including healthcare, education, HR, industrial operations, and business analytics. Specific features, deliverables, pricing, service levels, and timelines for each Client engagement will be detailed in a separate Statement of Work (SOW), proposal, or service agreement ("Agreement"), which forms part of these Terms.

4. Account Registration and Access

  • You are responsible for maintaining the confidentiality of any login credentials, API keys, or access details provided for our Services.
  • You agree to notify us immediately of any unauthorized access or use of your account.
  • BNT Tech is not liable for losses arising from your failure to safeguard access credentials.

5. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for us to deliver the Services.
  • Use the Services in compliance with applicable laws, including data protection, healthcare (e.g., for HIMS/EMR/Patient Care platforms), and education regulations relevant to your industry.
  • Obtain any necessary consents from your own end-users, patients, students, or employees before inputting their data into our platforms.
  • Not use the Services for any unlawful, fraudulent, or harmful purpose.

6. Fees and Payment

  • Fees for Services are as specified in the applicable Agreement, proposal, or invoice.
  • Unless otherwise agreed, invoices are due within the payment terms specified therein.
  • Late payments may result in suspension of Services until outstanding amounts are settled.
  • All fees are exclusive of applicable taxes unless stated otherwise.

7. Intellectual Property

  • Our IP: All software, source code, designs, tools, dashboards, and underlying technology developed or owned by BNT Tech remain the exclusive property of BNT Tech, unless otherwise agreed in writing (e.g., for fully custom-developed, work-for-hire projects).
  • Client Data: You retain ownership of all data you input into our Services (e.g., patient records, employee data, business data). We claim no ownership over your Client Data.
  • License to Use: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
  • You may not copy, reverse-engineer, resell, sublicense, or distribute our software without our prior written consent.

8. Data Protection and Confidentiality

  • Each party agrees to keep the other's confidential information private and to use it only for purposes related to the Agreement.
  • BNT Tech will implement reasonable security measures to protect Client Data processed through our Services.
  • Our handling of personal data is further described in our Privacy Policy.
  • Where our Services involve processing of sensitive data (e.g., health records via HIMS/EMR, or employee data via HRMS), the Client remains responsible as the data controller for ensuring lawful collection and use of such data, and BNT Tech acts as a service provider/processor under the Client's instructions.

9. Service Availability and Support

  • We will use commercially reasonable efforts to ensure the Services are available and performant, but we do not guarantee uninterrupted or error-free operation.
  • Scheduled maintenance, updates, or unforeseen technical issues may result in temporary downtime.
  • Specific support terms, response times, and service levels (if any) will be detailed in the applicable Agreement or Service Level Agreement (SLA).

10. Third-Party Integrations

Certain Services (e.g., WA Chat Bot) may integrate with third-party platforms such as WhatsApp Business API. Your use of such integrations is also subject to the respective third party's terms and policies, and BNT Tech is not responsible for the availability or performance of third-party platforms.

11. Warranties and Disclaimers

  • We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards.
  • Except as expressly stated, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
  • We do not warrant that the Services will meet all of your specific requirements or be completely error-free.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • BNT Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Services.
  • Our total aggregate liability for any claim arising from the Services shall not exceed the total fees paid by you to BNT Tech in the twelve (12) months preceding the claim, unless otherwise specified in the applicable Agreement.

13. Indemnification

You agree to indemnify and hold BNT Tech harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or violation of applicable law, including data protection or industry-specific regulations relevant to your use case.

14. Term and Termination

  • These Terms remain in effect for as long as you use our website or Services, or as specified in the applicable Agreement.
  • Either party may terminate an Agreement as per the termination provisions specified therein.
  • We may suspend or terminate access to the Services for non-payment, breach of these Terms, or unlawful use.
  • Upon termination, you remain responsible for any outstanding fees, and we will reasonably cooperate on data export/handover as specified in the applicable Agreement.

15. Modifications to Services or Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. We will post the revised Terms on this page with an updated "Last Updated" date. Material changes affecting existing Client Agreements will be communicated directly where required.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable in Sri Lanka/India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to exclusive jurisdiction as specified in a signed Client Agreement.

17. General Provisions

  • Entire Agreement: These Terms, together with any applicable Agreement/SOW and our Privacy Policy, constitute the entire agreement between you and BNT Tech regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
  • No Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our prior written consent.
